Mango — Terms of Service
Version 0.4 · Effective October 6, 2026
1. These terms
These Terms of Service (the "Terms") govern your use of the Mango platform and your booking of IT asset disposition services through it. They form a binding agreement between you ("you" or "Client") and Schwing Resource Management Inc., a Delaware corporation, doing business as Mango ("Mango," "we," "us").
You accept these Terms by ticking the acceptance box at checkout. That tick is an electronic signature and is effective under ESIGN and UETA. We record the version you accepted, the account, and the time of acceptance.
If you are booking on behalf of a company, you confirm you are authorized to bind it, and "you" means that company.
2. Definitions
2.1 "IT Asset" — computing, network, storage, laboratory, or other electronic equipment retired from service.
2.2 "Data-Bearing Asset" — any IT Asset containing, or capable of containing, internal data storage.
2.3 "Retirement" / "Retired" — removal of an IT Asset from service for disposal, sale, donation, trade-in, return, or other disposition. Equipment sent for repair or warranty replacement and returned to service is not Retired.
2.4 "Provider" — an independent, certified ITAD processor in Mango's vetted network engaged to perform physical pickup, sanitization, destruction, recycling, and remarketing.
2.5 "Booking" — a pickup you request and pay for through the platform.
2.6 "Credit Earned" — the account credit generated from fair market value of assets you own that are processed through the service, determined and applied under §8.
2.7 "Single Pickup" — the one-time service described in §5.
3. The service; our role
3.1 What we provide. Access to the Mango platform and client portal; coordination of Providers for your scheduled pickup; holding Providers to their service commitments under our Provider agreements; and the documentation deliverables in §10.
3.2 We never take title and never handle your equipment. Mango is the coordination, documentation, and compliance layer. Physical services — pickup, transport, media sanitization, physical destruction, recycling, and remarketing — are performed by Providers, which are independent contractors and not agents or employees of Mango. Title to your equipment passes directly from you to the applicable Provider on the Provider's acceptance of the equipment at intake. Mango at no time takes title to, or physical possession of, your equipment.
3.3 Provider certifications. Providers are admitted to the network only on verification of the certifications applicable to their scope, which may include R2v3, e-Stewards, NAID AAA, and ISO-family certifications. The certifications held by the Provider on your job are identified in that job's documentation.
3.4 Sanitization standards. Media sanitization is performed by Providers using methods aligned to NIST SP 800-88, Guidelines for Media Sanitization, or by physical destruction, as applicable to the asset. NIST SP 800-88 is a guideline, not a certification, and no representation of certification to it is made or implied by Mango or on its behalf.
3.5 Destruction is not optional. Every Data-Bearing Asset collected under a Booking is sanitized or physically destroyed. There is no configuration of the service that omits this.
4. Booking and scheduling
4.1 Lead time. Pickups are scheduled no fewer than 10 business days from the date of Booking. This is the notice our Provider network requires to dispatch.
4.2 Arrival window. You select a two-hour arrival window. The window is a request. A Provider confirms it, ordinarily within 3 business days of Booking.
4.3 Status. On payment, your Booking is Dispatched. It becomes Booked when a Provider accepts the job. We notify you at each step.
4.4 If no Provider accepts. We will source an alternative Provider. If we cannot staff your date, we will contact you to reschedule. If we cannot complete the job at all, §7.5 applies.
4.5 Service area. Service depends on Provider coverage at your address, which changes as the network grows. If we cannot confirm coverage at Booking we will tell you and offer an alternative.
4.6 Information you give us. Scope details, site-access notes, and contacts are optional at Booking and may be added afterward through the portal. Information you do supply is relied upon to plan the service and produce your documentation, and you are responsible for its accuracy.
5. What a Single Pickup includes
5.1 Price and inclusions. A Single Pickup is $575, and includes, for one visit by one crew:
- 25 Data-Bearing Assets, certified wipe
- 175 lbs of e-Waste
- 1 staff-hour on site
5.2 Overages. Volume beyond the inclusions above is billed per pickup at the rates below. Quantities are counted at pickup, itemized, and shown to you before any charge is made.
| Item | Rate |
|---|---|
| Certified wipe, beyond 25 assets | $12 per asset |
| Physical shred | $17 per asset, from the first asset — no allowance |
| e-Waste, beyond 175 lbs | $2.39 per lb |
| Staff time, beyond the included hour | $92.50 per staff-hour |
Where two Provider staff attend, the included staff-hour is consumed as 0.5 clock-hours.
5.3 Inclusions are per pickup. The inclusions in §5.1 apply to each pickup and do not carry over, accumulate, or create an entitlement on a later pickup.
5.4 Service ceiling. A Single Pickup is scoped to one crew, one vehicle, one visit, and is limited to 500 lbs of e-Waste and 100 Data-Bearing Assets. Volume above either limit requires a decommission quote, which is priced separately. If a pickup presents volume above those limits, the Provider may collect the portion within scope, document it, and the remainder will be quoted and scheduled separately. Partial completion in these circumstances is not a service failure.
5.5 Specialist handling. Assets requiring specialist handling are quoted separately and are not included in the Single Pickup price.
6. Payment
6.1 Card. Your card is charged at Booking. It is retained on file solely to settle overages under §5.2, which are invoiced and shown to you before they are charged.
6.2 Invoice and purchase order. You may instead elect to be invoiced. An invoiced Booking holds your date; it does not book it. The job is not released to the Provider network until payment is received.
Payment must be received no later than 10 business days before the pickup date, which is the dispatch lead time in §4.1. We will remind you at 15 and 12 business days before the pickup date. If payment has not been received at the 10-business-day point, the date is released and your Booking remains open for you to schedule a new date once payment clears. No fee arises from that release.
6.3 Purchase orders. A purchase order number is optional. You may require that every invoice carry a purchase order number, in which case we will hold the invoice until one is supplied rather than issuing an invoice that will be rejected. You may forward a Booking summary to your accounts payable contact, who may supply a purchase order number without holding a Mango account.
6.4 Promotional codes. Promotional codes are issued at our discretion, may be withdrawn or expire, and have no cash value. Where a code reduces the amount payable to zero, a valid payment method is still required and retained on file, because overages under §5.2 remain possible and because Mango has already committed payment to the Provider.
6.5 Taxes. The price stated at checkout is the total amount payable for the service at Booking. The services described in these Terms are services and are not, as of the date of these Terms, subject to California sales tax. If any tax becomes applicable to the services, it will be itemized and shown to you before it is charged.
6.6 Disputes. You may dispute an invoice line in good faith by written notice within 30 days of the later of (a) issuance of the invoice or (b) delivery of the job documentation supporting the disputed line, identifying the line and the basis of the dispute. Undisputed amounts remain payable when due. Lines not disputed within that window are deemed accepted.
6.7 Credit statement finality. Statements of Credit Earned may be disputed in good faith by written notice within 5 business days of issuance, after which the statement is final for settlement purposes. This shorter window exists because Provider settlement is sequenced behind it.
7. Changes, cancellation and refunds
7.1 Fee schedule.
| Before a Provider accepts | After acceptance, 10+ business days before pickup | After acceptance, fewer than 10 business days before pickup | |
|---|---|---|---|
| Reschedule | No fee | No fee | $250 |
| Cancel | $75 | $150 | $300 |
7.2 Rescheduling always costs less than cancelling, at every stage.
7.3 Fees are collectible only against amounts already paid. Where no payment has been received for a Booking, no cancellation fee, reschedule fee or late fee arises. The Booking simply ends, and it will not have been released to the Provider network.
7.4 Where the current amount is shown. Your portal shows the fee applicable to your Booking at the time you view it.
7.5 If we cannot complete the job. If we are unable to complete a Booking, we will contact you and return the amounts you have paid for it. Refunds are processed manually and we will tell you when the return has been issued. This is your exclusive remedy for a Booking we cannot complete, subject to §15.
8. Credit earned from fair market value
8.1 Basis. Credit Earned is the account credit generated from fair market value of assets you own that are processed through the service, determined at the time of processing and net of the processing and remarketing fee and program share, as itemized on the credit statement issued for your job.
8.2 Eligibility. Credit Earned accrues only on assets you own free of third-party interests. Assets identified at Booking as leased, financed or otherwise encumbered earn no Credit Earned; assets not so identified are processed as owned by you, and you are responsible for their ownership status.
8.3 Application. Credit Earned posts to your Mango account on completion of job settlement and may be applied to Mango invoices at any time. Credit does not accrue interest and is not transferable to third parties.
8.4 No guarantee. Fair market value is determined at the time of processing and varies by equipment type, condition and market. Credit Earned is not guaranteed as to amount and may not offset the cost of your pickup. Any estimate of potential credit provided before processing is an estimate only and is not a representation of the amount you will receive.
9. Your responsibilities
9.1 Before pickup. You will (a) back up any data you need to retain; (b) remove or disable activation locks, device-management enrollment and remote-tracking features (for example MDM or Find My); and (c) not submit assets you are not authorized to dispose of.
9.2 Destruction is irreversible. All data storage in assets submitted for sanitization or destruction will be irreversibly sanitized or destroyed. Neither Mango nor the Provider has any obligation to locate, preserve or return data, or removable media, left in submitted assets.
9.3 Custody. Physical custody of, and custodial responsibility for, Retired assets transfers to the Provider at pickup, as evidenced by the chain-of-custody record. Data residing on Retired assets remains your data; from pickup, its safeguarding in transit and processing is the Provider's custodial responsibility under our Provider agreements, through completed and documented sanitization or destruction.
9.4 Site access. You are responsible for providing the access the crew needs on the day, including any site-specific requirements you have told us about. Where you have told us a certificate of insurance is required, you must supply the contact to send it to in time for us to do so.
10. What you receive
For each completed job, the platform delivers: (a) a Certificate of Data Destruction covering each data storage device processed; (b) a chain-of-custody record from pickup through final disposition; (c) a serial-level reconciliation report; (d) a record of weights and downstream routing; (e) a statement of Credit Earned, where assets you own are processed; and (f) a Compliance Packet assembling the foregoing.
Documentation is ordinarily available in your portal 15–20 business days after pickup, depending on the size and complexity of the job. A job closes when its documentation passes validation. Non-financial documentation is released per the service flow; financial statements are released on completion of job settlement.
11. Your data on the platform
Data you submit to the platform is your Confidential Information under §13, is processed to operate the service, and is handled in accordance with our then-current privacy and security practices. We will notify you without undue delay, and in any event within 72 hours, of confirming a security incident affecting your data on the platform.
12. Service status
12.1 Pre-general-availability. The platform is under active development. Features, interfaces and workflows may change. We will provide the service with reasonable skill and care.
12.2 Service levels. Mango holds Providers to their service commitments under its Provider agreements. Platform-level response and availability targets are objectives, not warranties.
12.3 Claim accuracy. Provider certifications are identified in job documentation. Except as expressly stated in a writing signed by Mango, Mango makes no representation regarding certifications or attestations held by Mango itself.
12.4 Scope of this section. This §12 and the disclaimers in §14.2 apply to the platform software only. They do not diminish the documentation deliverables (§10), the Provider certification requirements (§3.3), the sanitization standards (§3.4), or our holding Providers to their service commitments under our Provider agreements.
13. Confidentiality
13.1 Definition. "Confidential Information" means non-public information disclosed by one party to the other under these Terms that is designated confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure, including business, technical, pricing, asset and security information. It does not include information that (a) is or becomes publicly available through no fault of the recipient; (b) was known to the recipient without restriction before disclosure; (c) is independently developed without use of the discloser's Confidential Information; or (d) is rightfully received from a third party without a duty of confidentiality.
13.2 Obligations. The recipient will (a) protect the discloser's Confidential Information with at least the care it uses for its own similar information, and no less than reasonable care; (b) use it only to perform under, exercise rights under, or administer these Terms; and (c) disclose it only to personnel, advisors and contractors who need it for those purposes and are bound by obligations at least as protective as this §13. Mango may disclose your Confidential Information to a Provider as needed to perform a Booking.
13.3 Compelled disclosure. A recipient may disclose Confidential Information to the extent required by law or legal process, provided it gives prompt notice where legally permitted and reasonable cooperation to seek protective treatment.
13.4 Duration. Confidentiality obligations continue for three years after termination and, for trade secrets, for as long as the information remains a trade secret.
14. Warranties; disclaimers; insurance
14.1 Mutual. Each party represents that it has the right and authority to enter into these Terms.
14.2 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM IS PROVIDED "AS IS," AND MANGO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MANGO DOES NOT WARRANT PROVIDER SERVICES BEYOND THE DOCUMENTATION DELIVERABLES EXPRESSLY DESCRIBED IN §10.
14.3 Insurance. Mango maintains, or will maintain prior to the first pickup under these Terms, insurance appropriate to its role as the coordination and documentation layer, including technology errors and omissions and cyber liability coverage. Providers are admitted to and retained in Mango's network only with verified insurance meeting Mango's minimum coverage types and limits, evidenced by certificates of insurance, together with contractual indemnity and waiver of subrogation under Mango's Provider agreements. Losses arising from Provider physical services are addressed first through the responsible Provider's coverage and indemnity obligations under those agreements. Certificates of insurance are available on written request.
15. Limitation of liability
15.1 Cap. EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE GREATER OF (A) FEES PAID OR PAYABLE BY CLIENT IN THE TWELVE MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY THOUSAND DOLLARS ($50,000).
15.2 Exclusions. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
15.3 Carve-outs. NOTHING IN THIS §15 LIMITS LIABILITY FOR A PARTY'S FRAUD OR WILLFUL MISCONDUCT, CLIENT'S PAYMENT OBLIGATIONS, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
16. Indemnification
16.1 By you. You will defend, indemnify and hold harmless Mango and its Providers from third-party claims, and resulting damages, costs and reasonable attorneys' fees, arising from (a) data or content residing on assets you submit; (b) assets submitted without authority or in violation of third-party rights, including undisclosed leased, financed or encumbered assets; or (c) your breach of §9.
16.2 By Mango. Mango will defend, indemnify and hold harmless you from third-party claims, and resulting damages, costs and reasonable attorneys' fees, arising from (a) a claim that the Mango platform (excluding Provider physical services and information you supply) infringes a third party's intellectual-property rights; or (b) Mango's gross negligence or willful misconduct.
16.3 Provider-caused losses. For losses arising from a Provider's performance of physical services, Mango will (a) enforce for your benefit the indemnity, insurance and service-level obligations owed by the responsible Provider under Mango's Provider agreements, and (b) pass through to you amounts recovered from the Provider or its insurers in respect of your loss, net of Mango's reasonable enforcement costs. This §16.3 is your remedy path for Provider-caused losses, without limiting §16.2(b) or your direct rights against the Provider.
16.4 Procedure. The indemnified party will give prompt written notice of a claim (delay excuses the obligation only to the extent of resulting prejudice), grant the indemnifying party sole control of defense and settlement (no settlement imposing non-monetary obligations or admissions on the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party's expense.
16.5 Relationship to the cap. Indemnity obligations under this §16 are subject to §15, except to the extent a limitation is unenforceable under applicable law.
17. Communications
We will send you service communications — booking confirmation, status, reminders, invoices and documentation — to the email address on your account. You are responsible for keeping that address current and for verifying it when asked. Service communications are not marketing and you cannot opt out of them while you have an open Booking.
18. General
18.1 Governing law; venue. These Terms are governed by the laws of the State of California, excluding conflicts rules. Exclusive venue is the state and federal courts located in San Diego County, California.
18.2 Independent contractors. The parties are independent contractors. Providers are independent contractors of Mango.
18.3 Assignment. You may not assign these Terms without our consent, except to a successor in a merger, acquisition or sale of substantially all assets, on notice.
18.4 Notices. Written notices to Mango go to Schwing Resource Management Inc. d/b/a Mango, 630 1st Ave PMB 218, San Diego, CA 92101, email agreements@mangoloop.io. Notices to you go to the email on your account. Email notice is effective on confirmation of receipt.
18.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
18.6 Changes to these Terms. We may change these Terms. The version in force for a Booking is the version you accepted at the time of that Booking. Changes apply to Bookings made after they take effect.
18.7 Entire agreement; severability. These Terms are the entire agreement regarding the service and supersede prior discussions. If a provision is unenforceable, the remainder stands.
18.8 Electronic acceptance. These Terms are accepted electronically. Electronic acceptance is effective under applicable law, including ESIGN and UETA.
